ClipTraining Terms of Use (End User License Agreement)

1. Acceptance and Applicability

These Terms of Use (“Terms”) govern your access to and use of the ClipTraining online learning platform, services, and related applications (“Platform”) provided by ClipTraining, Inc., a Florida corporation (“ClipTraining,” “we,” “us,” or “our”).

Your access to the Platform is provided and subject to your employer’s arrangement with ClipTraining or a Reseller (a third party authorized to provide access to ClipTraining services). By using the Platform, you confirm that you have read, understand, and agree to these Terms. If you do not agree, do not access or use the Platform.

If your organization or Reseller has entered into a separate written agreement with ClipTraining, that agreement will control to the extent of any conflict with these Terms.

2. Account Responsibilities and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

• use your account only for legitimate training or compliance purposes;
• notify your administrator or ClipTraining immediately of any unauthorized use; and
• comply with all applicable employer or organizational policies regarding acceptable use and data security.

ClipTraining is not responsible for any loss or damage resulting from your failure to protect your account credentials.

3. Acceptable Use Policy

You agree not to:

• copy, modify, reverse engineer, or attempt to extract source code from the Platform;
• share, sell, or sublicense access to the Platform or its content;
• upload or transmit malicious code, phishing materials, or other harmful data;
• use the Platform for unlawful, fraudulent, or abusive purposes;
• attempt to bypass security controls or gain unauthorized access; or
• interfere with other users’ experience.

ClipTraining may suspend or terminate accounts that violate this policy.

4. Content and Ownership

All videos, lessons, graphics, interfaces, and other materials available through the Platform are owned or licensed by ClipTraining and protected by intellectual-property laws.

Your organization or Reseller may also upload or provide Reseller Content or custom materials within the Platform. You understand that:

• ClipTraining is not responsible for reviewing or verifying such content;
• all rights in Reseller Content remain with its provider; and
• you must follow your employer’s policies when using or sharing it.

You may not record, distribute, or publicly display ClipTraining Content without prior written consent.

5. User Feedback

If you submit ideas, suggestions, or feedback regarding the Platform, you grant ClipTraining a worldwide, royalty-free license to use and incorporate them into its services without obligation or compensation.

6. Data Retention and Privacy

ClipTraining processes limited personal data—such as login details, completion records, and analytics—to deliver and improve its training services, in accordance with our Privacy Policy.

• Data Retention: If your account becomes inactive or your organization’s subscription expires, your data may be deleted after ninety (90) days or as directed by your organization or Reseller.
• Data Access: ClipTraining provides your employer or Reseller with data for compliance tracking and reporting. ClipTraining is not responsible for how they use or retain such data.

7. Platform Availability and Third-Party Integrations

ClipTraining strives to provide reliable access but does not guarantee uninterrupted availability. The Platform may include integrations with third-party tools (e.g., Microsoft Teams, SharePoint, or LMS systems). Use of these integrations is optional and subject to the third party’s terms. ClipTraining is not responsible for third-party services or data handling outside its control.

8. Termination and Account Deletion

Your access continues while your employer or Reseller maintains an active subscription. ClipTraining may suspend or terminate your account if:

• your employer or Reseller fails to pay fees;
• you violate these Terms or applicable policies; or
• your account remains inactive for ninety (90) days after access expires.

Upon termination, access and stored data may be permanently deleted.

9. Disclaimer of Warranties

The Platform and its contents are provided “as is” and “as available.” ClipTraining makes no warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Your employer or Reseller is responsible for ensuring that access to the Platform meets internal requirements.

10. Limitation of Liability

To the fullest extent permitted by law:

• ClipTraining shall not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of data or profits); and
• ClipTraining’s total aggregate liability for any claim related to your use of the Platform shall not exceed the fees paid by your employer or Reseller to ClipTraining on your behalf during the twelve (12) months preceding the event.

These limitations apply regardless of legal theory and even if a remedy fails its essential purpose.

11. Compliance and Lawful Use

You agree to comply with all applicable laws and regulations while using the Platform. You represent that you are not located in a jurisdiction subject to trade restrictions or export controls that prohibit such use. ClipTraining may suspend or terminate access where required by law or government order.

12. Accessibility and User Support

ClipTraining is committed to providing an accessible learning experience. If you encounter difficulties using the Platform, contact your administrator or reach out to ClipTraining Support at support@cliptraining.com.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law principles. Any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.

14. Updates to These Terms

ClipTraining may modify these Terms from time to time. The date above indicates the latest revision. Your continued use of the Platform after updated Terms are posted constitutes acceptance of those changes.

15. Indemnification

You agree to indemnify, defend, and hold harmless ClipTraining, Inc., its affiliates, officers, directors, employees, and contractors from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Platform, violation of these Terms, or infringement of third-party rights. Your employer or Reseller may also be responsible for such acts under their agreement with ClipTraining.

16. Export Compliance and Legal Restrictions

You represent and warrant that you are not located in, under the control of, or a resident or national of any country or region subject to U.S. trade sanctions or export restrictions. You agree not to use or access the Platform in violation of any applicable export control laws or regulations, including those administered by the U.S. Department of Commerce or the U.S. Treasury’s Office of Foreign Assets Control (OFAC).

17. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between you and ClipTraining regarding your use of the Platform and supersede any prior understandings related thereto. Failure by ClipTraining to enforce any right or provision is not a waiver of such right or provision.

18. Acceptance of Terms

By accessing or using the Platform, you acknowledge and agree that:

1. You have read, understood, and accepted these ClipTraining Terms of Use;
2. You will comply with all applicable laws and your organization’s acceptable-use policies; and
3. Your continued use constitutes ongoing acceptance of any future updates.
